This Client Services Agreement (“Agreement” / “Account”), dated as of 04/03/2026 (“Effective Date”), is between I Need A VA LLC, a corporation of the State of North Carolina (hereinafter “PROVIDER”), with offices located at 125 S Lexington Ave Suite 101A, PMB 122 Asheville, NC 28801 and of located at (hereinafter “CLIENT”).
Whereas, CLIENT desires to retain the services of PROVIDER to provide full and/or part-time independent administrative services in support of CLIENT’s business by an out-of-office virtual assistant (hereinafter “VA”), and PROVIDER desires to provide such services, on the terms and conditions outlined in this Agreement.
Now, therefore, in consideration of the mutual covenants contained herein, PROVIDER and CLIENT agree as follows:
PROVIDER shall use reasonable efforts to supply CLIENT with the administrative support services of one or more independent VAs as requested by CLIENT on a contract basis to perform administrative services relating to CLIENT’s industry. These include the following services:
a. Dedicated Client Success Manager – PROVIDER will manage bi-weekly feedback and address CLIENT’s concerns with their Virtual Assistant.
b. Payroll Management – PROVIDER calculates and disburses pay to the Virtual Assistant.
c. Daily Timekeeping & Productivity Monitoring – PROVIDER tracks the Virtual Assistant’s time and productivity using a timekeeping system.
d. Monthly KPI Monitoring & Coaching – PROVIDER monitors the Virtual Assistant’s performance against pre-set objectives and coaches accordingly.
e. Monthly Background & System Checks – PROVIDER ensures Virtual Assistants are properly vetted and equipped for their tasks.
f. Ongoing Training Support – PROVIDER provides additional assistance and training for Virtual Assistants.
g. EOD Reports – Virtual Assistants must submit end-of-day reports.
h. Semi-Monthly Team Meetings & Bonuses – All Virtual Assistants are required to attend meetings and are eligible for bonuses.
i. Recruitment – Skills and Abilities Form – CLIENT must complete the Skills and Abilities Form to start the recruitment process
Upfront Fee: CLIENT agrees to pay PROVIDER a non-refundable upfront fee, which covers the recruitment process and initial training of the Virtual Assistant prior to being endorsed for the interview with the CLIENT.
Recruitment Timeline: PROVIDER’s typical recruitment timeline is 7–10 business days; however, this may vary depending on CLIENT’s specific needs and requirements, and the process may be completed sooner or take longer.
After the VA start date and onboarding email from PROVIDER, CLIENT agrees to pay weekly at a rate based on the VA’s part-time or full-time schedule. Rates may vary depending on VA specialization and will be confirmed after the meet-and-greet interview. If agreed hours are not completed, services will be billed per actual hour worked.
The upfront fee is valid for 90 days from the Effective Date; if services are not consumed within this period, the fee will be forfeited.
PROVIDER reserves the right to charge 1.5 times the regular billing rate for hours exceeding the initially agreed-upon schedule.
Weekly payments are due every Sunday and processed automatically via the credit card on file (Autopay).
If CLIENT requests manual payments, payment must still be made by Sunday. Failure to pay authorizes PROVIDER to charge the card on file automatically. If payment cannot be collected or remains unpaid for seven (7) days, PROVIDER may pause or
cancel services at its discretion.
Failure to dispute invoices within 72 hours constitutes acceptance of the charges and CLIENT remains
responsible for full payment.
Accounts canceled due to non-payment require a $500 reinstatement fee plus any outstanding balance before reactivation.
Accounts paused or canceled may be reactivated:
● 60 days for clients who previously worked with a VA (no reinstatement fee)
● 90 days for clients who paid upfront but were not yet matched with a VA (no reinstatement fee)
After these periods, $500 reinstatement fee applies. PROVIDER cannot guarantee the availability of
any previously assigned VA upon reactivation.
If balances remain unpaid 15 days after cancellation, PROVIDER may refer the account to collections and pursue recovery of all amounts due, including attorney’s fees and collection costs.
CLIENT may cancel this Agreement within 72 hours of signing for a full refund of the upfront fee, provided:
Cancellation is submitted in writing to clientcare@ineedava.com.
No VA has started active service work.
No additional recruitment or training costs beyond standard processing have been incurred.
After 72 hours, all fees are non-refundable. CLIENT waives any right to refunds or disputes beyond
this period.
CLIENT agrees not to file chargebacks or disputes for valid charges under this Agreement. Any chargeback constitutes a material breach and may result in immediate service suspension. PROVIDER may charge a $500 administrative fee for chargebacks and pursue recovery of the disputed amount, fees, and related costs. This provision survives termination of the Agreement.
CLIENT agrees not to directly recruit or hire, any VA assigned by PROVIDER during the term of this Agreement or within twelve (12) months following its termination. If CLIENT wishes to hire the VA directly within or after this period, CLIENT is required to pay a direct hire fee of $1500.
CLIENT shall keep the terms of this Agreement and any financial matters confidential, including compensation for VAs. Disclosing these details to VAs constitutes a violation under the “Liquidated Damages” clause.
In case of violation of the non-solicitation or confidentiality terms, CLIENT agrees to pay liquidated damages of $5,000 per VA.
This Agreement will continue for one year from the Effective Date, renewing automatically for an additional year unless terminated by either party with a 15-day written notice. PROVIDER may terminate immediately if CLIENT fails to make payments or if CLIENT becomes bankrupt or insolvent.
Any disputes arising under this Agreement will be settled through arbitration before the American Arbitration Association, in Asheville, North Carolina.
CLIENT shall indemnify PROVIDER for any third-party claims arising out of CLIENT’s actions under this Agreement.
By signing this Agreement, CLIENT agrees to all terms and conditions outlined herein.
BY ELECTRONICALLY SIGNING BELOW, I ACKNOWLEDGE AND AGREE TO ALL TERMS STARTED HEREIN INCLUSIVE OF ALL ITEMS ON THIS AGREEMENT.

There’s a 7-10 days period before you meet your chosen Virtual Assistant. For that period, we will send you the candidate's portfolios so you can select who among them matches your preference and we’ll get your feedback from there.
We recommend that all Virtual Assistants work full-time so they can be solely dedicated to your business. We believe you will get the best experience when your VA is working full-time to help you grow your business.
Yes, we manage your VAs for you. We also do other services for your convenience, like recruiting, training, managing, getting them insurance, and even taking care of the payroll, so you won’t have to worry about anything.
Definitely, yes. We hire Virtual Assistants and put them through a 5-day training before we certify them and make sure they are qualified to work for our clients. They are taught fundamental skills to be a Virtual Assistant, like technical skills, communication skills, ethics, graphic designing, administrative tasks, lead generation, social media management, and more. They submit their work and put them in a Google Drive folder so we can send you their portfolios once we pair them up with you.
You don’t have to worry about the payroll, because we handle all financial assistance needed for your VAs.
Technically yes, but in legal sense, no. That is because you won’t have to pay any taxes or other fees since your VA is an independent contractor. You don’t have to worry about any issues between you and your VA since we will provide them a Non-Disclosure Agreement.
